This procedure concerns the rental of the company with simultaneous collection of the irrevocable and cautionary offer to purchase the company itself.
The company is engaged in the production and marketing of aluminium, plastic, pet, PVC and derivatives products and paper in general and in particular the production of trays, containers and the like, as well as systems relating to containers, trays and films for use in both the food and industrial sectors for special applications.
The company consists of:
1. Mobile goods;
2. transferred contracts;
3. transferred employees;
4. intellectual property rights;
5. permits, licences and authorisations.
With regard to employment contracts, it should be noted, pursuant to and for the purposes of Article 2112 of the Civil Code, that such employment relationships will continue with the tenant and the workers will retain all the rights deriving from them. The company rent does not include debts, prior to the stipulation, accrued by the renter towards any non-transferred employees.
The procedure specifies that prior to renting, the necessary trade union consultation procedure must be carried out. Art. 47 L.428/90, aimed at the transfer of employees. Any charges relating to the trade union consultation procedure, of whatever nature, shall be borne entirely by the tenant.
The tenant expressly undertakes to maintain the workforce listed in the attached list unchanged. Any new hirings will be made only on a fixed-term basis, for possible reasons of replacement of absent workers listed in the attached list and with a maximum duration of the work contract corresponding to the duration of this lease.
In general, any claim by the successful tenderer against the company Zenith Alluminio Srl may not be opposed to the procedure for compensation of the Company's rent.
All receivables and payables relating to the rented company are expressly excluded from the lease (and from the subsequent sale of the company), unless otherwise provided, which shall remain, respectively, in favour of and at the expense of the company Zenith Alluminio Srl.
All contracts not expressly indicated as the object of the transfer and listed in the attachment are excluded from the composition of the Company.
The lease of the company business, which will last for 9 months, in favour of the successful bidder must be made by notarial deed to be stipulated within 30 days of the actual award. The payment of the award price, in advance quarterly instalments, must be paid prior to the stipulation of the notarial deed of business lease by bank transfer.
The procedure does not provide any guarantee in relation to any changes in the value of the compendium and/or to the lower amounts determined in the period between the start date of the competitive procedure and the stipulation of the business rental contract in favour of the successful bidder.
